Welcome to the Cvent App Marketplace (“Marketplace”), an online marketplace where Cvent makes available, in its sole discretion, cloud or other software services, integrations or applications offered by Cvent or third party developers not affiliated with Cvent (“Third Party Developers”), collectively, the “App(s)”.

Your access to or use of the Marketplace and Your selection of an App is subject to these Marketplace Terms of Use (the “Marketplace Terms”), Cvent’s Terms of Use (the “Cvent Terms”) as well as any terms of service, privacy policies or other documentation provided by Third Party Developers (“Third Party Developer Terms”), as may be applicable. In the event of a conflict between the Marketplace Terms and the Terms, the Marketplace Terms will control with respect to Your use of the Marketplace.

This Agreement is between Cvent, Inc. on behalf of itself and its wholly-owned subsidiaries, as applicable (“Cvent” or “We” or ‘Our”) and you (“You” or “Your”). These Marketplace Terms apply to You if you are browsing the Marketplace or leaving a review. If You are agreeing to these Marketplace Terms on behalf of a company, organization, or other legal entity, You represent that You have the authority to bind that entity, its affiliates, and all users who access the Marketplace on its behalf to these Marketplace Terms. If You do not have authority, You must not accept these Marketplace Terms and You may not use the Marketplace services.

These Marketplace Terms may be revised or updated from time to time. Accordingly, You should check the Marketplace Terms regularly for updates. Each time You access, use, or browse the Marketplace, You signify Your acceptance of the then-current Marketplace Terms. Cvent may make changes to the Marketplace, content, services or features or discontinue the Marketplace at any time, with or without notice.

Your Use of the Marketplace

Pursuant to these Marketplace Terms, Cvent grants You a limited, non-exclusive, non-transferrable, non-sublicensable and revocable license to access and use the Marketplace to browse, review, and to submit a request for App(s) and to submit reviews for App(s) solely in compliance with these Marketplace Terms. All rights not expressly granted by Cvent are hereby reserved.

To request an App on the Marketplace, You are required to provide Contact Information about yourself and Your organization, including Your name, email address, phone number, and company details, so that We or the relevant Third Party Developer(s) may contact You regarding Your request for an App. As such, it is Your responsibility to provide up to date accurate Contact Information to us. Please refer to the Privacy section of these Marketplace Terms to  understand how Cvent will use Your Contact Information. Where You select a Third Party App, Your Contact Information will be transferred to the Third Party Developer of the App, so that they may contact You in connection with Your request for an App. By agreeing to access and use the Marketplace and in connection with Your request for Third Party App(s), You hereby consent to Cvent transferring Your Contact Information and any information provided by You to Third Party Developers as required.

You may use the Marketplace and App(s) in compliance with all applicable laws, regulations or other legal requirements applicable to You in your region. You may not use any manual or automated means (of any type) to capture or extract data in bulk from the Marketplace or to directly or indirectly: (a) sell, resell, transfer, lease, license, or sublicense the Marketplace or any App, (b) copy, record, extract, scrape, modify, duplicate, or make derivative works based on the Marketplace or App, (c) decompile, disassemble, reverse engineer or attempt to discover any source code or underlying ideas or algorithms of the Marketplace or App(s), or (d) use the Marketplace or App(s) in a manner or for a purpose that is deceptive or infringes, misappropriates or otherwise violates the intellectual property rights of a third party.

You are responsible for obtaining and maintaining at Your own expense, all equipment needed to access the Marketplace, including but not limited to Internet access and adequate bandwidth. You acknowledge that the Marketplace is provided over the Internet and therefore the availability of the Marketplace may be affected by factors outside of Cvent's reasonable control. Cvent has no responsibility whatsoever for unavailability of the Marketplace, or any other system failure which may result in the Marketplace or its content being unavailable. The availability of the Marketplace and App(s) may vary across different regions and Cvent reserves the right in its discretion to update, modify or remove any App(s) at any time without prior notice.

App(s)

The Marketplace lists App(s) that are developed, maintained, supported, and licensed by Cvent (“Cvent App(s)”) or by Third Party Developers (“Third Party App(s)”). The App listing may include information relevant to the App, such as the provider of the App, features, functionality, support information, etc. Cvent has no obligation to monitor, verify, or maintain the accuracy of information provided by Third Party Developers listed on our Marketplace and we encourage you to use your own discretion to review the information provided.

  • Cvent App(s). If You request a Cvent App, Your Contact Information will be received by Cvent, and our staff will contact You in connection with Your App request. Your use of a Cvent App will be governed by the ordering document and Cvent Terms, as applicable.
  • Third Party App(s). If You select a Third Party App(s), Your Contact Information will be transferred to the Third Party Developer of the App, and they will contact You directly in connection with Your App request. Without limiting the provisions of these Marketplace Terms, Your use of the Third Party App(s) may be subject to the Third Party Developer Terms, and You are responsible for the payment of fees directly to the Third Party Developer. Cvent does not own or operate the Third Party App(s) and is thus, not responsible for any Third Party App or Your use thereof or any liability arising therefrom, and You agree You assume all risk in dealing with Third Party Developers. You shall be responsible for all communication with the Third Party Developer, including separately executing contracts with each other. Cvent is not a party to the agreement between You and the Third Party Developer with respect to the Third Party App(s). Third Party Developers are solely responsible for their App(s), including availability, compatibility, stability, upgrades, maintenance, and support. Any dispute regarding the Third Party App(s) must be resolved directly between You and the applicable Third Party Developer. Cvent is not responsible for any breach by either You or the Third Party Developer of the terms of any transaction or associated transaction-related activities and Cvent does not in any way warrant the accuracy, reliability, completeness, usefulness, security or quality of such Third Party App(s). You acknowledge and understand that Cvent’s acceptance of a Third Party Developer to the Marketplace should not be construed as or otherwise deemed an endorsement or promotion of such Third Party Developer, and such acceptance is in reliance on the Third Party Developer’s representation and warranty to Cvent of the accuracy of information submitted by such Third Party Developer. No payment is processed through the Marketplace, and You are solely responsible for Your purchases outside of the Marketplace. Cvent will not provide any refunds or credits for Third Party App(s) purchased from Third Party Developers.

Privacy 

Any personally identifiable information You provide when using the Marketplace will be used by Cvent in accordance with its Privacy Policy which may be viewed here: http://www.cvent.com/en/privacy-policy.shtml. Cvent may use this information to do any of the following:

  • Contact You regarding Your use of the Marketplace or submissions for App(s) that You have made, to receiving email communications from Cvent regarding Cvent products and services, including but not limited to Cvent white papers, webcasts, videos, live events, and other marketing and information materials.  You understand that You may withdraw such consent at any time by unsubscribing from such email communications through the links provided therein.
  • Share Your information with Third Party Developers if You have selected their App(s).

Any Contact Information or other information that is transferred to Third Party Developers may be subject to the Third Party Developer’s privacy policy or similar terms, and Cvent is not responsible for any access, use, transmission, collection, disclosure, modification, deletion or security of such information in the possession of the Third Party Developers, or for the security and privacy practices of any Third Party Developer or Third Party App(s) and their processors. You are solely responsible for providing consent to Cvent to share Your information with Third Party Developers when You submit Your request for an App.

Intellectual Property

You agree and acknowledge that all right, title and interest (including intellectual property rights) in the Cvent App Marketplace, and the content made available therein are reserved by Cvent, and all right, title and interest (including intellectual property rights) in the App(s) are reserved and retained by their respective owners and licensors, and You do not acquire any ownership rights in the Cvent App Marketplace or the App(s). Please refer to DMCA Takedown Notice section of these Marketplace Terms for how to report infringing content on the Marketplace.

Indemnity

You agree to indemnify, defend and hold Cvent and our subsidiaries, affiliates, officers, agents, and employees harmless from any and all claims, demands, liabilities, losses, damages, costs and expenses (including, without limitation, reasonable attorneys' fees) arising from: (i) Your use of the Marketplace or any App(s), (ii) Your breach of these Marketplace Terms, or (iii) the infringement or violation by You of any intellectual property or other right of a third party, including any claims arising out of reviews or content You submit or post on the Marketplace.

Limitation of Liability 

YOU UNDERSTAND AND AGREE THAT YOU BEAR ALL RISKS ASSOCIATED WITH USE OF THE CVENT APP MARKETPLACE. IN NO EVENT SHALL CVENT HAVE ANY LIABILITY HEREUNDER TO YOU FOR ANY LOSSES OR DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR DAMAGES BASED ON LOST PROFITS, DATA OR USE, HOWEVER CAUSED AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN THE EVENT THE ABOVE LIMITATION IS PROHIBITED BY APPLICABLE LAW, AND YOU HAVE ANY LAWFUL BASIS FOR RECOVERING DAMAGES, YOU AGREE THAT YOUR EXCLUSIVE REMEDY TO RECOVER FROM CVENT OR ANY CVENT AFFILIATE, SHALL BE LIMITED TO DIRECT DAMAGES IN THE AMOUNT OF TEN DOLLARS ($10). YOU CANNOT RECOVER ANY OTHER DAMAGES OR LOSSES INCLUDING DIRECT, CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT, INCIDENTAL OR PUNITIVE. THESE LIMITATIONS AND EXCLUSIONS APPLY EVEN IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR WE KNEW OR SHOULD HAVE KNOWN ABOUT THE POSSIBILITY FOR THE DAMAGES. THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

YOU UNDERSTAND AND AGREE THAT THE CVENT APP MARKETPLACE AND APP(S) ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, AND CVENT DOES NOT MAKE ANY REPRESENTATION, WARRANTY, OR GUARANTY, AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE MARKETPLACE OR APP(S) OFFERED HEREUNDER.  ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT OR ANY WARRANTIES ARISING FROM USAGE OF TRADE, COURSE OF DEALING, COURSE OF PERFORMANCE, OR STATUTORILY, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. CVENT DOES NOT WARRANT OR GUARANTEE THAT THE CVENT APP MARKETPLACE WILL SATISFY YOUR REQUIREMENTS, OR THAT THE OPERATION OF SUCH WILL BE UNINTERRUPTED OR ERROR FREE.

ALTHOUGH CVENT ADMINISTERS THE MARKETPLACE AND ALLOWS YOU TO SEARCH FOR THIRD PARTY APP(S) ON OUR MARKETPLACE, CVENT IS NOT AFFILIATED OR RESPONSIBLE FOR ANY THIRD PARTY APP(S) OFFERED BY A THIRD PARTY DEVELOPER AND YOUR USE OF SUCH THIRD PARTY APP(S) IS AND REMAINS AT YOUR OWN RISK. CVENT IS NOT OTHERWISE A PARTY TO THE THIRD PARTY DEVELOPER SERVICES OR ANY OTHER TRANSACTIONS THAT MAY TAKE PLACE BETWEEN YOU AND THIRD PARTY DEVELOPERS AND IS NOT INVOLVED IN OR RESPONSIBLE FOR THE PERFORMANCE OF ANY SERVICES PROVIDED BY THIRD PARTY DEVELOPERS. CVENT HAS NO CONTROL OVER THE PERFORMANCE OF ANY SERVICE BY THIRD PARTY DEVELOPERS OR ANY CLAIMS MADE BY THIRD PARTY DEVELOPERS ABOUT THE SERVICES THEY MAY OFFER, NOR DOES CVENT GUARANTEE OR ENDORSE THE TRUTH OR ACCURACY OF ANY REPRESENTATIONS MADE BY THIRD PARTY DEVELOPERS, THE ABILITY OF THIRD PARTY DEVELOPERS TO PROVIDE THE SERVICES AS CLAIMED BY THIRD PARTY DEVELOPERS. THE QUALITY OF THE THIRD PARTY DEVELOPER APP(S) REQUESTED THROUGH THE USE OF THE CVENT APP MARKETPLACE IS ENTIRELY THE RESPONSIBILITY OF THE THIRD PARTY DEVELOPER WHO PROVIDES SUCH APP(S).

YOU UNDERSTAND THAT THE USE OF OR CONNECTION TO THE INTERNET PROVIDES THE OPPORTUNITY FOR UNAUTHORIZED THIRD PARTIES TO CIRCUMVENT SECURITY PRECAUTIONS AND ILLEGALLY GAIN ACCESS TO INFORMATION. ACCORDINGLY, CVENT CANNOT AND DOES NOT GUARANTEE THE PRIVACY, SECURITY OR AUTHENTICITY OF ANY INFORMATION TRANSMITTED OVER OR STORED IN ANY SYSTEM CONNECTED TO THE INTERNET. USE OF THE CVENT APP MARKETPLACE IS AT YOUR SOLE RISK. WE MAY MODIFY THE FUNCTIONALITY OF THE CVENT APP MARKETPLACE AND ITS INTERFACE AT ANY TIME AT OUR SOLE DISCRETION, AND SUCH MODIFICATIONS MAY RESULT IN A LOSS OF DATA ASSOCIATED WITH THAT FUNCTIONALITY. WE ALSO RESERVE THE RIGHT, IN OUR SOLE DISCRETION AND WITHOUT CAUSE AT ANY TIME, AND WITHOUT NOTICE TO YOU, TO REMOVE, OR REFUSE TO POST ANY REVIEW OR CONTENT SUBMITTED OR POSTED BY YOU TO THE MARKETPLACE.

The Marketplace may contain links to third party sites. Any such third party site is not under Cvent’s control and Cvent is not responsible for any content therein. Cvent does not endorse the products or companies mentioned in the third party links. Your access of any third party link is at Your own risk.

Trademarks

Cvent, Cvent.com, and other Cvent trademarks, logos, names, marks, icons etc. on the Marketplace are owned by Cvent and may not be used without our prior written permission. Similarly, Third Party Developer trademarks and other content posted by the Third Party Developer on the Marketplace are owned by the Third Party Developer and may not be used without the Third Party Developer’s prior written permission.

Feedback and Reviews

If You provide comments, suggestions, and recommendations to Cvent with respect to the Marketplace (including, without limitation, with respect to modifications, enhancements, improvements, and other changes to the Marketplace) (collectively, "Feedback"), You hereby grant to Cvent a world-wide, royalty-free, irrevocable, perpetual license to use and otherwise incorporate any Feedback in connection with the Marketplace. You further acknowledge that any such Feedback does not contain confidential or proprietary information, is unsolicited and is being provided voluntarily. All Feedback may be made available to third-party search engines on the Internet.  Cvent and independent third-parties may use Feedback, in whole or in part, in any manner, including creating derivative works.

We may allow You to post reviews or rate the Marketplace or the App(s) and post content or comments on Your or other user’s reviews (collectively, “Reviews”). Leaving a Review is voluntary. Submitted Reviews will be moderated for inappropriate language and will be published after evaluation. Reviews are posted under the name of the user and must be made in good faith and in relation to the relevant App(s) after reasonable use and evaluation. You must not post any defamatory, abusive, threatening, harassing, discriminatory, offensive, or illegal content, or information or other material protected by trademark or copyright without the permission of the trademark or copyright owner. If You do post a Review, You warrant and represent that You own the trademark or copyright therein, if applicable, or have received permission from the trademark or copyright owners, and additionally, You grant Cvent, its affiliates and the applicable Third Party Provider (a) a non-exclusive, royalty-free, irrevocable, perpetual and fully sublicensable rights to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Review throughout the world in any media; and (b) the right to use the name that You submit in connection with such Review. You agree that the rights You grant herein are irrevocable during the entire period of protection of Your intellectual property rights associated with such Review. You agree to waive Your right to be identified as the author of such Review. Cvent reserves the right to delete Reviews at any time in its sole discretion. Reviews that include discriminatory language, libel, or harassment may be reviewed by Cvent’s legal department and Cvent reserves the right to block individuals who do not abide by these Marketplace Terms.

Use Analysis

You agree that Cvent may track and analyze Your use of the Marketplace to help us better our Marketplace services. You acknowledge that Cvent may use all data collected by the Marketplace in a non-personally identifiable form, for any purpose. Cvent may disclose all such data (“Usage Statistics”) to third parties for the purpose of assisting Cvent in such tracking or analysis, or where required by law.

 Miscellaneous

  • This Agreement will be governed by, construed and enforced in accordance with the laws of the Commonwealth of Virginia, USA applicable to contracts made and performed wholly within Virginia without regard to any conflict of law principles. Each party consents to the exclusive jurisdiction of the state and federal courts located in Fairfax County, Virginia to adjudicate any disputes between the parties, arising out of this Agreement. The parties waive their right to a jury trial.
  • If any of the provisions of this Agreement shall be invalid or unenforceable, such invalidity or unenforceability shall not invalidate or render unenforceable the entire Agreement, but rather the entire Agreement shall be construed as if not containing the particular invalid or unenforceable provision or provisions, and the rights and obligations of You and Cvent shall be construed and enforced accordingly.
  • You may not assign Your rights or obligations under this Agreement without Cvent’s prior written consent. 
  • Nothing in this Agreement shall create a partnership, franchise, joint venture, agency, fiduciary or reemployment relationship between You and Cvent. 
  • The headings used in this Agreement are for reference only and do not define, limit, or otherwise affect the meaning of any provisions hereof.
  • Except as expressly stated in these Terms, these Terms constitute the entire agreement between the parties, and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning their subject matter.
  • The failure of either party at any time to enforce any right or remedy available to it under this Agreement with respect to any breach or failure by the other party shall not be construed to be a waiver of such right or remedy with respect to any other breach or failure by the other party. 
  • Any amendment or modification of these Terms shall be effective when we make the updated version available on our website.
