If the Event is held, the Minimum Charge shall be credited towards the Reserving Party's total bill. If the event is not held, or is cancelled for any reason fewer than 72 hours prior to the Event, the minimum Charge shall be retained by The Shout! House as liquidated damages. Such liquidated damages are neither a penalty nor a forfeiture, but rather are a reasonable estimation of The Shout! House's Damages, which are not readily determinable. It is agreed that a credit card number belonging to the Reserving Party or its representative will be held by The Shout! House to ensure payment of the Minimum Charge.
